此件果子盤以純銀鍛製,形制樸雅,意趣天成。盤體幾近渾圓,折沿卷邊,線條柔婉中見筋骨。盤沿施以槌目紋,槌痕錯落深淺,光色流轉之間,銀輝斑駁如月映漣漪,別有幽玄之美。槌自紋與光素盤面相得益彰,光影交錯,虛實相生,使素銀之器頓生靈動之氣。整器雖爲果盛之用,然造型質樸,工藝自由,不拘一格,頗具茶道“宅寂”之韻。置於席間,盛時令鮮果,恰如畫中留白,予人以遐想之餘地。

款者簡介:四世藏六 ( 1 8 9 8 ~ 1 9 8 4 ),二代秦藏六第五子,幼承家學,隨二代、三代修習锻冶與雕金技藝。昭和十九年(1944)襲名四世藏六,曾任京都金屬工藝協會會長,獲“技術保存資格者”認定,爲昭和時期金工界領袖人物。其創作承初代仿古正統,更兼明治晚期精工特質,器型端莊、線條簡練、肌理細膩,尤擅阿古陀形銀壺、夔龍紋湯沸,作品存世稀少,工藝價值與收藏價值極高,爲日本近代銀壺收藏之標杆人物。
拍賣人拍賣規則根據《中華人民共和國拍賣法》及其他有關法律、法規和實際狀況並参照國際通行慣例制定,競買人和委託人均須仔細閱讀,並對自己執行規定之行為負責;在本規定以外的特殊問題和未盡事項,由拍賣人依據本規則之原則予以解釋和處理。對有爭議之法律問題,應依據中華人民共和國法律解决。
第一部分關於競買人與買受人的主要條款
一、競買人及買受人
(一)競買人是指在拍賣人处登记参加競購拍賣標的的公民、法人或其他組織。除非某競買人在拍賣日前向拍賣人出具書面證明並經拍賣人書面認可,表明其身份是某競賈人的代理人,否則每名競買人均被視為競買人本人。
(二)買受人是指以最高應價購得拍賣標的的競買人。
(三)競買人應妥善保管在拍賣人處登記的號牌,他人持有競買人號牌參與競買的後果由競買人承擔法律責任。
(四)競買人應在拍賣之前憑本人身份證、護照或有效身份證明填寫及簽署登記表,並領取競買號牌。競買人為法人或其他組織的,應在拍賣之前憑有效的註册登記證書、法定代表人身份證明或合法的授權委託手續填寫及簽署登記表,並領取競買號牌。
(五)競買人應在登記領取競買號牌前向拍賣人支付競買保證金。競買保證金按本次拍賣會圖錄中的《競買須知》所確定的數額交納,但拍賣人與競買人另有約定的除外。拍賣結束後,若競買人未能購得拍賣標的且對本公司無任何欠款,則該保證金在拍賣結束後十二個工作日內全額無息返還競買人;若競買人成為買受人的,则應在拍賣成交後的七日內付清購買價款,領取拍賣標的,原付之保證金予以抵扣。七日內仍未付清購買價款者,即視為達約,拍賣人有權沒收競買人在拍賣人處的所有保證金並追究該違約者的一切責任。
(六)競買人進入拍賣現場即表示遵守和認可本拍賣規則和拍賣人的其他規定。
(七)競買人舉牌表示其認可拍賣人的加價幅度,除拍賣人的拍賣師現場有權調節加價幅度以外,任何人無權以低於加價幅度應價。
(八)競買人應對自己在任何價位的應價行為負責,一經拍賣師落槌或者以其他公開表示買定的方式確認後拍賣即成交。最高出價人不得反悔並應當場簽訂成交確認書,否則須承擔法律責任。
二、委託競買
(一)競買人應親自出席拍賣會,如無法親自出席,可委託拍賣人代為競買。拍賣人對競買未成功或代理競買過程中出現的任何錯誤、疏忽、過失或無法代為競買等不承擔任何責任。若兩人以上以相同委託價競買,則以最先與拍賣人辦理委託競買者為買受人。
(二)委託拍賣人競買的,委託人最遲應在拍賣日前二十四小時內向拍賣人出具有效的委託競買授權書,並支付競買保證金,拍賣成交後應在七日內付清餘款。
(三)競買人可委託他人進行競買,受託人的競買行為後果由委託人承擔。如他人持競買人登記的號牌參與競買的,不論是否經過號牌持有人同意,因該競買行為所發生的後果由《競買人登記表》登記的競買人承擔责任。
(四)委託他人競買的,受託人須在拍賣日前向本公司出具書面證明並經本公司書面認可,表明其身份是某競買人的代理人,否則競買參與人均被視為競買人本人。
(五)競買人委託拍賣人及他人代為競買的,自委託開始之時,本規則對委託人具有約束力,接受委託的拍賣人工作人員及其他受托人的競買後果由委託人承擔責任。
三、對圖錄的說明
(一)拍賣人印制的圖錄及說明書不作為正式出版物,僅作為拍賣預告,但拍賣規則對参與拍賣的當事人具有約束力。
(二)拍賣人在拍賣圖錄或其他形式上對任何拍賣標的有關作者、來歷、日期、年代、尺寸、質材、裝裱、歸屬、真實性、出處、保存情況、估計售價或藝術價值所作的介紹,不表明拍賣人所作的擔保,僅作為意見供競買人參考。
(三)图录的攝片和印刷色調、層次等與原物有誤差的,應以原物為準。
(四)拍賣人印制的圖錄,如未對拍賣標的提供有關資料,並非表明某拍賣標的無瑕疵;已指出的某特定瑕疵,也並非表明其再無其他瑕疵。
(五)拍賣人對拍賣標的的真偽及品質不承擔瑕疵擔保責任。競買人應在拍賣日前,以鑒定或其他方式(包括聘請專家)查驗擬競買拍賣標的之原物,自行判斷該拍賣標的的真偽及品質。一旦參加競買,即視為已行使上述權利並認可該拍賣標的之現狀(包括瑕疵),對自己競買某一拍賣標的的行為承擔法律責任,並不得以任何理由提出退货或拒付拍賣款及傭金和其他费用,否則拍賣人將按本規則對其追究違約責任。
(六)本公司圖錄中拍品圖錄號旁有標記之拍品為保税拍品。保税拍品均來自海外或港澳台地區,處於保稅狀態下。
四、拍賣會設備
拍賣人現場使用货幣兌換器提供的匯率,僅為競買人提供参考;如與國家規定匯率有出入,拍賣人概不負責。
五、金
買受人競得拍賣標的後應向拍賣人支付落槌價的15%的傭金,如買受人不支付該慵金的,拍賣人除有權要求買受人承擔違約責任外,還有權拒絕買受人領取拍賣標的。
六、付款及领取拍賣標的
(一)拍賣成交後,買受人應當場付款並領取拍賣標的,最迟應在拍賣成交后的七日內付清購買價款並至拍賣人处領取拍賣標的。
(二)買受人支付拍賣款的幣種為人民幣,異類貨幣按付款當日中國銀行公佈的匯率進行結算。
(三)買受人全额支付拍賣標的價款及傭金後,方可獲得拍賣標的之所有權;買受人在尚未全额付清拍賣款及傭金前,不得領取拍賣標的。
(四)如因買受人原因,未在拍賣成交後七日內領取其所購買的拍賣標的的,該拍賣標的的搬運、倉儲等费用及標的物的其他損失均由買受人承担,拍賣人不承擔责任。
(五)拍賣人向買受人推薦的包装及運輸方式,買受人一經同意即作為自願委託,因包裝或運輸所造成的一切過失與拍賣人無任何關係。任何拍賣標的均有可能受到拍賣地國家出口法律及其他國家或地區進出口法律限制,買受人須於競買前自行尋求專業意見,確認拍賣標的滿足法律對進出口的要求。如將文物攜運出境,買受人須依法自行辦理文物出境審核手續。
(六)處於中華人民共和國海關監管下或處於保稅區的拍賣標的無法在拍賣現場辦理提貨,拍賣成交后,買受人應根據中華人民共和國有關規定自行辦理入境手續,並自行承擔相應稅費。買受人不得以未獲發任何許可證或相關文件作為撤銷交易或要求延遲付款的理由。
(七)如買受人申請保稅拍品進口,拍賣人可協助推薦代理公司,方便買受人諮詢瞭解政府部門的相關政策要求,代為辦理進口手續。拍賣人應買受人要求推薦代理公司,僅視為拍賣人對買受人提供的協助,拍賣人可酌情决定是否提供此項協助,若由此產生任何費用或發生任何損失均由買受人自行承擔。此外,拍賣人不就拍賣人推薦的代理公司造成的錯誤、遺漏,無法協助辦理相關手續承擔任何責任。
(八)如拍賣成交的拍品為保税拍品,則買受人應於拍賣成交日起30日内付款並領取拍賣標的。如買受人按期付清購買價款,則自拍賣成交日起拍賣人最長提供90日免费存放期。買受人逾期仍未提货的,拍賣人有權自逾期之日起收取保稅倉儲費,且在此期間拍品發生的一切風險,由買受人自行承擔責任。買受人提貨前應結清保稅倉儲费(如有)。
(九)内地保税倉儲费收费標準:15元人民/件/天,且單件拍品(含外包装)體積不超過0 . 5 m ^ { 3 } ( \widehat { \sharp } 0 . 5 m ^ { 3 } ) ;體積超過0.5m的,按15
元人民幣 / 0 . 5 \mathsf { m } ^ { 3 } / 天計收,超出部分不足0 . 5 \mathsf { m } ^ { 3 } 的,按0.5m计收。
七、拍賣標的出售後之责任
拍賣成交後,買受人即對其已成交的拍賣標的負全責;即便該拍賣標的仍由拍賣人或代理人保管,保管期間非因拍賣人故意行為而致拍賣標的損失或損壞的,風險由買受人承擔。
八、逾期付款或不領取拍賣標的的處理 九、擔保聲明
如買受人不付款,或未付清拍賣款,或不領取拍賣標的的,拍賣人有權隨時提出解除合同,並要求買受人承擔違約金及違約損失,同時可對賈受人採取以下一填或多填措施:
(一)向西泠印社拍賣有限公司住所地法院起訴,要求買受人支付拍賣款及傭金、利息、違約金和其他费用,並支付因違約給拍賣人及委託人造成的一切損失,包括但不限於律師一、二、再審及執行程序的代理费(代理費以實際簽訂的《法律服務委託合同》為準)、訴訟保全擔保費,且買受人不得以任何理由提出要求或向司法机关主張減少或拒絕承擔前述費用。
(二)不向買受人移交拍賣標的。
(三)在公眾傳播媒體上公開點名譴責達約者及其違約行為。
(四)再行拍賣或以其他方式出售該拍賣標的。拍賣人再行拍賣或出售該拍賣標的的,原賈受人應當支付前次拍賣中本人及委託人應當支付的傭金。再行拍賣或出售的價款低於原拍賣價款的,原買受人應當補足差額;再行拍賣的價款高於原拍賣價款的,高出部分歸拍賣人或委託人,但原買受人仍應承擔違約責任。
(五)拍賣人自拍賣成交後第八日起,就買受人未付款部分按日萬分之五收取利息、日萬分之三收取拍品保管费,直至買受人付清全部款項之日止。如買受人拖延支付拍賣款的,已經支付的款項應在扣除其因遲延支付發生的利息、保管费及拍賣人的其他損失後再作為拍賣款進行結算。買受人不得以任何理由提出要求或向司法机关主張減少或拒絕承擔前述費用。
(六)競買保證金不予退還,同時買受人還應按照未付款的 30 % 向拍賣人支付違約金。買受人不得以任何理由提出要求或向司法机关主張減少或拒絕承擔前述費用。
(七)買受人以同一競買號牌同時拍得多件拍賣標的的,若買受人未按照約定時間支付任一拍賣標的的價款,全部競買保證金不予退還,買受人在未付清全部拍賣款前無權领取任一拍品。
(八)拍賣成交後七日內,如買受人未向拍賣人支付拍賣價款,委託人要求取回該拍賣標的的,拍賣人經審核同意退回後,拍賣人與買受人的拍賣合同解除,但拍賣人仍有權要求買受人承擔違約責任。
(九)拍賣成交後,如買受人未向拍賣人付清全部價款的,拍賣人有權委託他人向買受人催要全部或部分欠款。
(十)拍賣人有權將本公司、本公司的母公司、子公司、分公司、辦事處(聯絡處)、關聯公司在任何其他交易中欠付買受人的款項抵銷買受人欠付本公司的任何款項;將買受人支付的任何款項用於清償買受人欠付本公司、本公司的母公司、子公司、分公司、辦事處(聯絡處)、關聯公司的任何款項,而不論買受人是否指示用以清償該筆款項。
根據拍賣法的相關規定,拍賣人聲明:任何人或代理人對任何拍賣標的用任何方式所作的内容介紹及評價(圖錄、幻燈投影、新聞載體等),僅屬参考意見,並未表示任何擔保,拍賣人對拍賣標的的真偽或品質不承擔瑕疵擔保責任,競買人(包括委託競買人)應親自查看拍賣標的原物,對自己競買拍賣標的的行為承擔法律責任。
第二部分關於委託人的主要條款
一、委託人及保證
(一)委託人如無特殊說明,拍賣人將委託人視作合法财產之所有權人;如系共有财產,委託人未說明,也表明已經徵得共有人同意,視其為共有人之代表。
(二)委託人將物品委託給拍賣人拍賣時必須持身份证或其他有效身份证明及送拍物品的有關證明,並就委託拍賣的物品來源、內容向拍賣人說明,並與拍賣人簽署委託協議。若送拍標的曾流通於境外,委託人承諾該拍賣標的的入境清關手續合法且齊全並應當主動向拍賣人說明及提示,如有違反導致拍賣人遭受經濟損失的包括但不限於經營損失、傭金損失、律師費、保全擔保費等由委託人承擔。
(三)委託人必須對委託拍賣的物品享有所有權或處分權,並對因展覽、宣傳、發表和拍賣等引起的一切糾紛承擔法律責任。如因此造成拍賣人經濟損失和名損失的,委託人應予賠償。
(四)為便於考訂,委託人應就其知道的或應當知道的送拍物品的來源及瑕疵向拍賣人指明或書面提示。如因此造成拍賣人經濟損失(包括但不限於可得利益損失、律師費、保全擔保費等)和名損失的,委託人應予賠償。
(五)委託人不得競買自己委託拍賣的拍賣標的,也不得委託或聘請他人代為競買。
二、就委託人委託拍賣的標的,拍賣人對以下事項處理擁有完全决定權:
(一)擬拍賣的拍賣標的是否適合由拍賣人拍賣,以及拍賣地點、日期、拍賣條件及拍賣方式。
(二)在圖錄內以及新聞媒體中對任何拍賣標的作任何內容說明和評介。
(三)在實際拍賣前的任何時間解除委託拍賣協議(撤回拍賣標的),以及與委託人協商修訂保留價。
三、保留價
(一)所有拍賣標的均設保留價,委託人有權就保留價數額與拍賣人書面約定。保留價數額一經雙方同意後如需更改,須經拍賣人同意。
(二)拍賣人不得低於保留價拍賣委託人送拍的拍賣標的,但拍賣人在保證委託人所得的實際收入不少於按保留價拍出時應得收益的情況下,可以低於保留價對拍賣標的進行拍賣。
四、委託拍賣
委託拍賣指委託人與拍賣人協商簽訂委託拍賣合同,委託人按成交價支付給拍賣人一定比率的拍賣費用和傭金後,拍賣收益歸委託人的交易方式。
五、慵金及其他费用
(一)除另有約定外,委託人所付的傭金在成交時按成交價的 1 0 % 計付,未成交的,拍賣人不收取任何费用。
(二)保險(管)費為成交價的1%;印製圖錄費詳見拍賣人收費標準。
(三)委託人如不支付前款規定的傭金和费用,拍賣人可從拍賣標的的價款中提取。
(四)委託人認可拍賣人按約定向買受人收取的各项合理费用。
六、保險
(一)除委託人另有提示外,自委託人與拍賣人訂立委託拍賣合同並將拍賣標的交付拍賣人起,至買受人付清拍賣標的購買價款之日或拍賣日之後的三十五日內,拍賣人對拍賣標的負有代為投保或保管的權利。
(二)委託人應支付相當於成交價 1 % 的保險(管)费;未成交的則按保留價1%支付保險費。
(三)如委託人書面要求拍賣人無須投保其拍賣標的,則風險和責任由委託人自行承擔,與拍賣人無關。因此造成的經濟損失和費用支出,由委託人負擔。
(四)因蛀蟲、天氣和其他不可抗力事件而造成拍賣標的原件損失,拍賣人不負責任。如因其他原因發生拍賣標的損壞及賠償,則根據中國有關法律、法規處理,在保險索賠勝訴的情況下,將賠償款扣除應付給拍賣人的费用(傭金除外)後,餘款交付給委託人。
七、拍賣收益支付
(一)如買受人已向拍賣人付清拍賣標的的全部價款,並且未與拍賣人發生任何糾紛的,拍賣人自拍賣成交後的三十五日起,扣除委託合同或本規則的各項費用後,將其餘收益支付給委託人。
(二)如買受人超出拍賣成交後三十五日向拍賣人支付拍賣價款的,拍賣人應在收到買受人支付的全部拍賣價款後的七個工作日內,將拍賣價款按本規則規定支付給委託人。
(三)本公司有權將應支付給委託人的出售收益
或其他任何應付款項優先用於清償委託人欠付本公司、本公司的母公司、子公司、分公司、辦事處(聯絡處)、關聯公司的任何款項,而不論委託人是否指示將出售收益用於清償前述欠款。
(四)拍賣人向委託人支付拍賣收益的货幣為人民幣,但雙方另有約定的除外。
(五)根據國家相關法律的規定,委託人因拍賣所得應缴納的相應稅款由拍賣人依法代扣、代缴。委託人與拍賣人簽署保稅拍品的委託拍賣合同且將拍賣標的交付拍賣人後,若拍賣標的被中華人民共和國有關行政部門禁止入境或被行政部門暫扣導致拍賣標的無法上拍的,則拍賣人不承擔任何责任。
八、委託人撤回拍賣標的之收费
委託人在拍賣日前向拍賣人發出書面通知並說明理由且經拍賣人同意的情況下,可以撤回其對拍賣標的的拍賣,若拍賣人刊載該拍賣標的的圖錄或其他宣傳品已付印或出版,委託人需向拍賣人交付相當於該拍賣標的保留價 3 0 % 的费用,如圖錄或其他宣傳品尚未印刷,則需向拍賣人交付相當於該拍賣標的保留價20%的費用。因委託人撤回拍賣標的而引起的一切法律和經濟責任,均由委託人本人自行承擔,與拍賣人無關。
九、拍賣標的未成交或拍賣人與買受人解除拍賣合同
拍賣標的未能成交,或其他原因拍賣人與買受人解除拍賣合同的,委託人須在拍賣結束後六十日內,或拍賣人與買受人解除合同後六十日內取回該拍賣標的,費用自理,如拍賣結束後六十日內,或拍賣人與買受人解除合同後六十日內委託人未取回拍賣標的的,拍賣人有權再次公開拍賣該拍賣標的,且有權要求委託人支付拍賣標的成交後應付的各項費用。拍賣結束後,或拍賣人與買受人解除合同後超過六十日未取回該拍賣標的的,委託人每日應按該拍賣標的保留價的萬分之三支付保管費。發生意外風險及其他事故的,由委託人自行承擔責任。
第三部分 拍賣人其他職責
一、拍賣人應為送、拍雙方提供服務,但對委託人或競買人的任何達約行為概不負責。
二、有權拒絕拍賣師落槌後的競買價、有權决定提高競買價、有權撤銷拍賣標的的拍賣,以及在出現爭議時將拍賣標的再次拍賣。
三、有權對拍賣標的用展覽、拍賣、文告、圖錄以及其他形式予以發表。
四、提請競買人注意拍賣標的的瑕疵,尤其是兿術品瑕疵的特殊性,要求其本人查驗原物,並自願決定競買行為。
五、有權與委託人共同决定保留價,有權决定拍賣時計價的貨幣幣種、拍賣方式、加價幅度。
六、為交易雙方保守秘密,並根據中華人民共和國法律和拍賣人的交易規則維護雙方及拍賣人的利益不受侵害。
七、根據委託人與拍賣人的約定,委託人承諾對拍賣標的所有權承擔法律責任。任何其他人對拍賣標的所有權提出異議的,拍賣人不予受理,但在拍賣前拍賣人接到司法機關依法作出的决定及通知的,拍賣人有權中止拍賣。
第四部分 有關詞語之含義及其他
本拍賣規則及圖錄內的下列詞語有如下含義:
一、“本公司”、“拍賣人”指西泠印社拍賣有限公司。
二、“各項费用”指拍賣人對保險、圖錄刊登等收取的费用。
三、“贋品”指拍賣標的經刻意製造,其作者、來歷、日期、年代、時期、文化或來源各方面資料均系偏造,與目錄內之說明不相符。
四、“拍賣標的”指委託人委託拍賣人在拍賣會上進行拍賣的物品或财產權利。
五、“保留價”是指拍賣標的拍賣成交價應達到的最低價格基數。
六、“估價”指圖錄上由拍賣人對每件拍賣標的明示的估計價格。可作調整。
七、“成交價”指拍賣師對某件拍賣標的的最終落槌價格。
八、“拍賣款”是指成交價加上買受人應支付的慵金的價款。
九、“傭金”指拍賣人按一定比率向委託人和買受人收取的费用。
十、“拍賣利益”指拍賣人在成交價的基礎上扣除按一定比率計算的傭金、各項費用及委託人應支付給拍賣人的其他費用後的餘額。
十一、“拍賣成交日”指在拍賣人舉瓣的拍賣活動中,拍賣師以落槌或者以其他公開表示買定的方式確認任何拍賣標的達成交易的日期。
十二、“通知”指書面通知。拍賣人根據委託人、競買人、買受人登記的聯繫地址及方式,向其發送通知函件等,一經發出即視為送達。
十三、“印鑒”是指拍賣標的上的印章。印制在拍賣人圖錄上的文字說明僅供競買人参考。
十四、“設色”指該件拍賣標的(中國字畫)系彩色。
十五、“瑕疵(含缺陷)”指兿術品的真偽和某些細小缺點。拍賣人認為任何藝術品或因天然、或因製作、或因保存均可能造成的瑕疵;因此拍賣人提示競買人查驗拍賣標的是否有明顯的或隱性的瑕疵。中國傳統認為“瑕不掩瑜”,因此藝術品的“瑕疵”是否影響競買,應由競買人決定。
十六、“合同履行地”指拍賣人住所地。
十七、“管辖”是指因履行委託拍賣合同或拍賣合同發生爭議的處理法院,委託人、競買人、買受人及其他拍賣當事人與拍賣人因履行合同發生爭議的,由拍賣人住所地人民法院管轄。
十八、委託人、競買人及買受人在拍賣人處登記的聯繁方式或身份信息,視為拍賣人與其聯繫的信息,拍賣人或代理人及司法机关按此聯繫方式和信息向委託人、競買人及買受人發出通知及其他法律文书,一經發出即視為送達。如委託人、競買人及買受人上述聯繫方式和信息發生變更的,應書面通知拍賣人,否則視為未變更。

三、競買人在入場前須憑本人身份證、護照或有效身份證明瓣理登記手續,参与競買國之重器 吉金再現·西周太師盧簋專拍、八征耄念·乾隆帝寶璽專場拍賣標的的競買人須交納競買保證金贰佰萬元(RMB2,000,000)人民幣、中國書畫各專場(中外名人手跡與影像兿術專場,曾國藩致李鴻章、李瀚章昆仲書札暨中興名臣手跡專場)、油畫·現當代兿術専場、曠代一丁·丁衍庸兿術専場拍賣標的的競買人須交納競買保證金伍拾萬元(RMB500,000)人民幣。競買其他專場拍賣標的的,保證金為贰拾萬元(RMB200,000)人民幣,交納後方能入場競買。為維護委託人和競買人的合法權益,競買人在競得拍品成交價(含傭金)累計達到壹仟萬元(RMB10,000,000)人民幣時,若仍需繼續參與競買的,應在原有保證金

The Conditions of Business are made in accordance with the Auction Law ofthePeople'sRepublicof China,otherrelevantlawsimplemented inthe People'sRepublicofChina,regulations ofthePeople’sRepublicofChina and theArticlesof Associationofthe Companywithreferencetointernational conventions.Both the Bidder and the Seller'shall read carefully the following detailed regulationsand be responsible for his actions while carrying out these regulations.Special problems and unwritten matters not mentioned in this document shall be explained and handled by the Auctioneer in accordance with the principles of these regulations.Contentious law problems shall be setted in accordance with the laws and regulationsof the People's Republic of China.
PartIMain Stipulations for the Bidderand the Buyer
1. 1ne DIuuer aIu uIe Duyer
(1)TheBidder referstoany citizen,legal person/corporateorany organization thatregistersand bidsat the Auctioneer's.Unless the Bidder provides written confirmationtothe Auctioneerprior to the auction date,and such confirmationisacknowledged inwritingbytheAuctioneer, indicating that theBidderisactingasanagentforanother,eachBiddershalberegarded as participating in the auction on their own behalf.
(2)The Buyer shall be the highest Bidder approved by the Auctioneer.
(3)The Bidder shall keepthepaddle registered at the Auctioneer's property properly and bear the liability for any consequences caused by any other's bidding under the Bidder's paddle.
(4)Before the auction the Bidder shall completeand sign aregistration form withhisownvalidIdentificationCard,Passportorothervalid identity certificates,and shall geta biddingpaddle.If'theBidderisa legal person oran organization,the Bidder shall fillinand signa registration formwith thevalidBusinessLicense,thelegal person'sIdentificationCardorlegal authorization letter and get a bidding paddle before the auction.
(5)The Biddershall geta bidding paddleafter payingthe Auctioneerdeposit asrequired in Notice to the Bidder inthe Catalogue,unless otherwise agreed by the Auctioneer and the Bidder. After theauction,those who failinbiddinganddonotowemoney totheCompanymaygetback their depositwithnointerestswithin12workingdays.TheBuyer shallpay the total priceoftheauctionarticleinfullandtakeawaythelotwithin7days afterthe successful bidding.The deposit already paid by the Buyer shall be deductedaspartof thetotal purchaseprice.If the Buyerfailstopay the amount infullwithin7days,theAuctioneershallconfiscate thedeposit at the Auctioneer'sand pursue the Buyer's liability.
(6)Theentranceof theBidder into theauctionhall shallimply that he shall abide by this document and other regulations of_the Auctioneer.
(7)The Bidder will raise his paddle on the premise that he agreeswith the bidding increment.Any bid lower than the increased price shall be refused, except when the auction specialist of the Auctioneer adjusts the price on the spot.
(8)The Bidder shall be responsible for his bid at any price,once the bidding is confirmed assuccessful after the Auctioneer hammersdown or declares the sale valid inother openways.The highest bidder shall signaconfirmation order for the deal on the spot and he shall never pull back,otherwise he shall be legally responsible for his bid.
2. Trust bid
(1)TheBiddershalltakepart intheauctionhimself.Ifit is impossible for him to be present at the auction,he shall trust the Auctioneer as his agent, buttheAuctioneer shall notberesponsible in casethat the biddingis unsuccessful or the agent makes mistakes or neglects his duties in the course ofbidding.Iftherearetwoormorebiddersofferingthesametrustprice, the one who reaches the Auctioneer first shall prevail.
(2)The Bidder who intends to trust the Auctioneer as his agent to bid shall sign avalid writtenauthorization bid orderand submit it to the Auctioneer to pay thedepositno late than24 hoursbefore theauction date.The Bidder shall pay offthe rest within7 days after the auction.
(3)The Bidder is permited to trust other persons to bid and will be responsible forthe trustee's bidding at the Auctioneer's.The Bidder registered at the Auctioneer'swillbeheldresponsibleforthebiddinganditsresult ifothers bid under the Bidder's paddle regardless of being confirmed by the Bidder Or not.
(4)If the Buyer authorizes other person.to bid,the person entrusted shall present a written letter of authorizationwhich indicateshe will bid on behalf oftheBuyer,and getapprovedbytheAuctioneer inwrittenform thereafter. Otherwise,theperson entrusted shallbear the same liability of the Buyer.
(5)If the Bidder trusts the Auctioneer and other entrusted persons to bid, he_shall be bound bythe Conditions of Businessand responsible for the biddingresults.TheBiddershallbeartheliabilityresultingfromthebidding by the Auctioneer's staffs and other entrusted persons.
3. Caption or photo to an auction catalogue
(1) The captions,photos and introductions provided by the Auctioneer arenota formal publication,butanotice onthe forthcoming auction.Partiesinvolved are bound by the Conditionsof Business.
(2)Statements of the auction article on thecatalogue or in other formsrgdingitsoriginte,toy,ie,il, mount,oiicityrce,ii price orartistic value are for the Bidder'sreference only.Itis not aguaranteeby the Auctioneer.
(3)Ifthereisany differenceincolor, light andshade between the auction article's photos on the catalogue and the original one
caused by photography or printing, the original one shall prevail. (4)Ifanauction articleisprinted onthecatalogueby the Auctioneer, and no caption orphoto for itisavailable,it doesnot mean the articlehasnodefect.If a particulardefect hasalready been stated,itdoesnotmeanithasnootherdefects. (5) The Auctioneer shall undertake no guarantee for the authenticity andqualityofanyarticle.TheBiddershallauthenticateoruse othermeans (includingaskingfortheopinionsofexperts)before theauctiondayto examinethe original pieceto judgeifitis genuine and knowabout the quality of thearticle he intends to buy.Once he takes part in the bidding,he shall be considered to haveexercisedtheaboverightsandacknowledgedtheauction article's status quo (includingdefects).The bidder is considered willingto be legallyresponsible forhisbiddingofacertain auctionarticle,andhewill never cancelhisbidorrefuseto pay thepurchase price, commission and other expenses under any excuse whatsoever;otherwise theAuctioneer shall pursue the Bidder'sliabilityinaccordancewiththe Conditions ofBusiness. (6)The items marked with next to the catalogue number in thecompany'scataloguearebonded itemswhich come from overseas,HongKong,Macau or Taiwanregions,and areunder bonded status. 4. Facilities in the auction hall
The foreign exchange rate offered by the currency-exchange converter available in the auction hall is for the Bidder's reference only.The Auctioneer shall not be held responsible for the discrepancy between the foreign exchange rate proposed by The People'sBank ofChina and the one offered on site. 5. Commission
After the successful bidding, the Buyer shall pay the Auctioneer 1 5 % of the“hammer price”as commission.If the Buyer refuses to pay the commission, the Auctioneer shall have the right to pursue the Buyer's liability, butalso have alien on the auction article the Buyer shall collect.
5.Payment and delivery of the auction article
(1)After a successful bidding, the Buyer shall pay the price in full and pick up the article or pay off the rest and pick up the auction article from the auctioneer no late than 7 daysafter the auction.
(2)The payment shall be paid in RMB.In the event that the Buyer makes paymentsincurrencyother thanRMB,thepaymentwillbemadeatthe foreign exchange rate announced by the People’sBank of China on the day of the payment.
(3)The Buyer will not get the ownership.of any auction article unless he pays the total amount of the purchase price and commission. The Buyer will not collect any one of the articles beforehe paysoff all amounts due and commission.
(4)The Buyer shall collect the article within7 days of its sale.After the specifieddate, the Buyer shall be liable topay transportation fee, storage fee and other costs arising from the loss of the auction article. The Auctioneer shall not be responsible for the consequences caused by the Buyer's delay.
(5)Once the Buyer allowsthe Auctioneer to arrange packing and transportation,the Buyeris deemed as trusting the Auctioneeras hisagent out of hiswill. The Auctioneer shall not be responsible for any damage to the article in the process of packing or transportation.All auction lots may be subject to export restrictions under the laws of the country where the auctionisheld,aswell as import/export laws of other countries orregions. TheBuyer must seek professional adviceprior to bidding to ensure that the auction lots complywith legal requirements for import and export. If cultural relics are to'be carried out of the country,the Buyer shall be responsible for completing the necessary export procedures in accordance with the law.
(6)The auctioned items under the supervision of the customs of the People'sRepublic of China or in bonded areas cannot be collected on-site at the auction.After the auction,the Buyer shall handle the entry procedures in accordance with relevant regulations and bear the corresponding taxesand fees.The Buyer may not use the absenceof required permitsorrelated documentsasareason to cancel the transactionordelaypayment.
(7)If the Buyer applies to import bonded auction items,the Auctioneer may assist in recommending an agent company to facilitate the Buyer'sunderstandingof relevant government policiesand handle import procedures on the Buyer'sbehalf. TheAuctioneer'srecommendationofanagentcompanyat the Buyer's request ismerelyassistance.The Auctioneer has the discretiontodecidewhether to provide such assistance.Any costs or losses incurred are borne by the Buyer.Furthermore, the Auctioneer is not responsible for any errors or omissions caused bythe recommended agent company or for the agent company's inability toassistinhandling related procedures.
(8)Iftheauctioned itemis bondeditem,theBuyershall payand collectthe itemwithin30daysfromtheauctiondate.IftheBuyer paysthepurchasepric ,theAuctioneershall providea maximumof 90daysof free storage fromtheauctiondate.If theBuyerfailstocollecttheitem within the specified period, theAuctioneer shall have theright to chargebonded storage fees fromthedayafterthedeadline,and theBuyershall assumeall risksassociatedwith theitemduringthisperiod.TheBuyershall settle any bonded storage fees (if applicable) before collecting the item.
(9)The standard fee for bonded storage in mainland China is 15 RMB per itemper day for itemswith avolume not exceeding0.5 cubicmeters (includingpackaging).For itemsexceeding0.5cubic meters,the feeis15RMB per0.5cubicmeters perday.Any excess less than0.5cubicmetersshall becharged as0.5cubicmeters.
7.TheBuyer'sliabilitiestoanauctonarticleafterthesuccessulbdding Afterthedaywhenthearticleissold,theBuyershallberesponsiblefor
the article he has purchased.Even if _the article is stillkept by the Auctioneer or
anagent,the Buyer shall beresponsible for thelosses ordamages not caused by
theAuctioneer's intentional act during the keeping period.
8.Remedies for arrears and deferred collection of auctioned articles If the Buyer fails.to pay the amount in fullor does not take the auction
articleaway,theAuctioneershallhavetherighttoterminate theagreement
atanytimeandrequire the buyer to paythepenaltyand assume the liability
fortheloss.The Auctioneer shall be entitled to exercise one or more rights as
followswithout informing the Buyerinadvance:
(1) Bringa suit to the court where the Auctioneer is under jurisdiction againsttheBuyerforhisbreach of contract,and demand the Buyer to pay the hammer price, commission and other expenses aswell ascompensation forallthelosses forhisbreach of contract (including,butnotlimitedto feesforlawyer'sfirst, second instance and review as well as prosecution procedure. The agency fee shall be subjected totheactuallysigned Legal Service Entrustment Contract,litigation preservation guarantee fees. TheBuyermaynot,foranyreason,fileclaimsorassertefore judicialauthoritiestoreduceorrefusetobeartheaforesaid fees).
(2)Do not transfer any one of thearticles at the Auctioneer to the Buyer.
(3) Denounce the defaulter by name and his default practice through newsmedia.
(4)Sell the article again by auction or by other means.If the Auctioneer puts the concerned article in auction again or sells thearticle,the Buyer shall paythecommissionwhich himself and theSeller should havepaid inthepreviousauction.If the articleisauctioned/soldatthepricelowerthantheoriginal one,theBuyershall paythedifferencetotheAuctioneer.If the articleisauctioned/soldatthepricehigher thantheoriginal one, the surplus shall go.to the Auctioneer orthe Seller,which does not exempt the original Buyer from bearing the liability for any breach of contract.
(5)Fromthe8th day after thesale date,the Auctioneershall charge theBuyer interestata rateof \mathbf { 0 . 0 5 % } perdayand storage fee ata rateof \mathbf { 0 . 0 3 % } perday onthedueand unpaid amount until such apaymentismadefully,unlessotherwiseagreedbythe Buyer and theAuctioneer.IftheBuyerstallsthepayment,theinterest andstoragefeeaccrued duetothedelayaswellasother losses caused to the Auctioneer accordingly shall be paid as well as the purchase price and other amounts the Buyer shall pay to the Auctioneer.Theuyershall not,foranyreason,madeanyclaim or assert before judicial authorities to reduce or refuse to bear the aforesaid fees.
(6) The deposit shall not be returned to the Buyer.And the Buyer shall pay 3 0 % oftheunpaid amount totheAuctioneerasa penalty.TheBuyer shall not,foranyreason,lodge any request or claimbeforejudicialauthoritiesforareductioninor exemption fromliability for theaforesaid fees.
(7)Intheevent that the Buyerfailstopayany oneof thearticlesat theagreed time according to the Conditions of Businessafter thesuccessful bidding of several articlesunder the same bidding paddle,the Auctioneer shall not returnall the deposits to the Buyer. TheBuyerhasno right to takeawayany one of thearticles before he pays offin full.
(8)Within7daysof thesuccessfulbidding,iftheBuyerfailstopay the due amountto the Auctioneer and the Seller proposes to retrieve the article, the contract between the Auctioneer and the Buyershallbedeemed as terminated upontheapproval of the Auctioneer.The Auctioneer,however,stili has the right to require the Buyer to takethe liability.
(9)After the successful bidding,if the Buyer fails tomake due payment,the Auctioneer shall have the righttoentrustathird party tocollectallorpartof thedefault payment fromtheBuyer.
(10)TheAuctioneermayoffsetanyamountsowed tothe Buyerin other transactionsagainst any amountsthe Buyer owes tothe Auctioneer,itsparentcompany,subsidiaries,branches,offices (contact points),oraffiliated companies.Anypaymentsmade bytheBuyermaybeused tosettleanyamountsowed tothe Auctioneer,itrtonyiies,rcsc (contactpoints),oraffiliatedcompanies,regardlessofwhether the Buyer has instructed the payment to be used for that specific purpose.
9.Statement of Guarantee
According to the Auction Law of the People's Republic of China, the
Auctioneerdeclaresthattheintroductionandcomments,including photos,pictures,slidesand newsreports about anyauctionarticle madebyanyoneof theagentsareforreferenceonly,andcannever beinterpreted asasortof guarantee.TheAuctioneerundertakes no guarantee forthe authenticity and qualityof any article.So the Buyer(includingthe trustee)shall examinetheauctionarticlein personand be legally responsible for his bidding.
PartIIMain Stipulations forthe Seller
1. The Seller and guarantee
(1)The Seller shall be the auction truster. The Auctioneer shall take the truster as thelegal owner of acertain property in the absence of particular statements; if the article isa co-owned property, the Auctioneer shall take the truster as the representative of the co-ownersand deem that the truster has got the permissionin the absence of the truster's statements.
(2)The Seller shall show_his Identification Card or other valid identity certificates,together with relevant certificate about the potential auction article when he intends to trust the Auctioneer to sell his article by auction. The Seller should also state the origin and content of the article to the Auctioneer and sign a“Consignment Agreement”with the Auctioneer. If the consigned lot has previously ciruclated outside the territory of China, the Consignor warrants that the customs entry formalities for such auction lot are legal and complete,and shall proactively disclose and remind the Auctioneer thereof in the event of anybreach resulting in economic losses iccurred by the Acutioneer, includingbut not limited to operatinglosses, commission losses,attorney's fees,preservation guarantee feesand other related expenses,allsuch losses shall be borne by the Consignor.
(3)The Seller shall have the“right of disposal”or ownership of the article trusted to the Auctioneer for the sale,and he shall be legally responsible for all disputescaused by exhibition,propaganda,publication, auction and so on,hence the Seller shall compensate the Auctioneer for any economic loss and defamation arising from the disputes concerned.
(4)The Seller shall provide the Auctioneer with all kinds of information he knows or ought to know, regarding the origin and defects of thepotential auctionarticle,soasto facilitate the.Auctioneer tocheck thearticle.Should this cause economic loss to the Auctioneer (including but not limited to loss ofpotential profit,legal fees,preservation guarantee fees,etc.)orharm to theAuctioneer's reputation, the Seller shall indemnify the Auctioneer.
(5)The Seller shall not bid his trusted auction article nor trust or employ others to bid for the trusted article.
2.As for the article trusted by the Seller, the Auctioneer shallbe fully entitled to handle the following matters:
(1)To decide whethera certain article is fit for auction,and the time,place, terms and by which means the auction will be held.
(2) To introduce and comment on any auction article in the catalogue and throughnewsmedia.
(3)To terminate the agreement (withdraw an article) any time before the auctionday,or toadjust its base priceafter negotiating with the Seller.
3. The base price
(1)All auction articles shall have their respective_base price.The Seller shall have the right to reach awritten agreement with the Auctioneer about the base price.Ifthe Seller wishes to change the base price agreed by both parties,he shall gettheapproval from the Auctioneer first.
(2)The Auctioneer shall not sellanauction article at a price that is lower than thebase price.Under the condition that the Auctioneer guarantees that the Seller’s actual proceeds is no less than the amount he shall get when the article is sold at the base price, the Auctioneer shall auction the article at a price that is lower than the base price.
4.Auction on consignment
It refers to the way in which the Seller negotiates with the Auctioneer before signinga Consignment Agreement according towhich the Seller shall get the auction proceeds after paying the Auctioneer a certain proportion of auction fee and commission on the basis of the hammer price.
5.Commission and other charges
(1)Exceptotherwiseregulated,ommissionaccounts for 1 0 % of the hammer price,while the Seller will not be charged in case the trusted article goes unsold.
(2) Premiumaccounts for 1 % of the hammer price; printing and photography fees can be referred to in the Auctioneer'scharging list.
(3)If the Seller refuses to pay the above-mentioned commission and other charges, the Auctioneer shall deduct the amount from the auction proceeds after the sale of the article.
(4)The Seller shall acknowledge all kinds of reasonable expenses the Auctioneer collects from the Buyer according to the agreements.
6.Insurance
(1)Except otherwise hinted by the Seller,the Auctioneer has the right to buy insurance for thearticle or keep thearticle from thedaywhenthe Seller and the Auctioneer sign a Consignment Agreement and the Seller trusts the article to the Auctioneer to the day when the Buyer completes full payments of his bidding or within 35 daysafter the auction date.
(2) The Seller shall pay 1 % of the hammer price as premium.If the article fails to be auctioned,the Seller shall pay 1 % of the base price as premium.
(3)If the Auctioneer is demanded by the Seller in written form not toeffect the insurance of his auction article, then the Seller shall be responsible for all the accidentswhile the Auctioneer shall not be responsible for them.And the Seller shallbe liable if there are economic losses and expenses caused by the accidents.
(4) TheAuctioneer shall not be responsible for the damages caused by insects and/or change of weather or other irresistible causes to the auction article. Ifthere are other reasons accounting for the damage done to the article and indemnity isneeded,then the matter shall be handled in accordance withrelevant Chinese insurance lawsand regulations.Under the condition that the insurance company_agrees topay the claimed damages,the Seller shall get the rest of the indemnityafter deducting the fees (exclusive of commission) he shall pay to the Auctioneer.
7.Payment of proceeds of the auction
(1)If'the Buyer has paid off the price in full to the Auctioneer and there is
no dispute whatsoever, the Seller shall get the rest of the sale proceeds afterdeducting the feesasregulated in the Consignment Agreement and Conditions of Business starting from the 35th day after the sale date,,
(2)If the Buyer pays the due amount after (or more than) 35 days of the auction date to the Auctioneer,the Auctioneer shall pay the proceeds to theSeller as regulated within7working daysafter receiving the Buyer's paymentin full.
(3) The Auctioneer has the right to prioritize the proceeds or any other amounts payable to the Seller to offset any amounts owed by_the Seller to the Auctioneer,its parent company,subsidiaries,branches,offices (contact points),oraffiliated companies,regardless ofwhether the Seller has instructed that the proceeds be used to offset such debts.
(4)RMB shall be the currency the Auctioneer shall pay the Seller after the auction,except otherwise agreed upon by both parties.
(5)According to relevant lawsand regulations of the People'sRepublic of China,the_Auctioneer should withhold the tax to the competent authority, Afterthe Seller signsthe consignmentagreement forbonded itemsand delivers theauctionlottothe Auctioneer,if thelotisprohibited from entering the People'sRepublic of China or is temporarily withheld by the relevant administrative authorities,resulting in the lot not being auctioned, the Auctioneer shall bear no liability.
8.Charges for the withdrawal of auction articles
The Seller may withdraw the article before the auction date subject to the Auctioneer's consent with a written notice_stating the reasons.In the case the catalogue or any other advertisementsof thearticle have begun to be printed before the Seller'swithdrawal,the Seller shall pay an amount equal to 3 0 % ofthearticle’s base price and other expenses.In the case the catalogue or any other advertisements of the article have not begun to be printed after the Seller'swithdrawal, the Seller shall payanamountequal to 2 0 % of the article's base price and other expenses. Any dispute or claim arising out of the Seller's withdrawal shall be borne by the Seller. 9.Unsold auction articles or contract rescission between the Buyer and the Auctioneer
If an article fails to be auctioned or the contract is rescinded between the Buyerand the Auctioneer due to any other reason,the Seller shall take the article back at hisown expensewithin 6O daysafter the auctiondate or the contract rescission.After the expiry of such a period, the Auctioneer shall have the right to auction the article publicly. The Auctioneer shall also be entitled to demand the Seller to pay allamountsdue after thearticle is auctioned.And the Auctioneer_shallchargetheSeller storage feesatarate.of 0 . 0 3 % per day on the base price after the auction date or the contract rescission. The Seller shall be responsible to all the risks and accidents thenceforward.
Part II Other Rightsand Duties of the Auctioneer
1.The Auctioneer shall provide services for both the Seller and the Buyer, but itshall not be responsible forany Buyeror Seller's breach of contract.
2.The Auctioneer'shall be entitled to refuse any bid which comes after the hammer price, raise bidding price,withdraw any auction article and sell the article in another auction if there are any disputes.
3.The Auctioneer shall have the right to hold exhibitions,auctions,and make announcements,catalogues and other forms of publications to introduce the auction article.
4.The Auctioneer shall ask the Bidder to notice the defects in an auction article, examine the article and decide his own bidding.
5.The Auctioneer shall have the right to determine,together with the Seller, the base price,and to determine the name of currency in auction,means of auction and bidding increments.
6.The Auctioneer shall keep it confidential concerning the Buyer and the Sellerinaccordancewith thelawsof thePeople’sRepublicofChinaand the business rules of the Auctioneer; the Auctioneer shall protect the rights and interestsoftheBuyer, theSeller nd theAuctioneer frominfringement.
7.According to the agreement between the Auctioneer and the Seller, the Seller shallbetheowner oftheauc articleandshallbelegallyresponsible. TheAuctioneer shall not acce hearanycasesregardingdifferent opinions from other personsabout the ownership of the auction articles the Auctioneer is going to sell. If the Auctioneer receives an announcement or
decision made in accordance with law from the judicial departments before the auction, the Auctioneer shall have the right to stop the auction.
PartIVDefinitionsoftheTermsUsedinThisDocumentandOther Terms
The definitions of the terms used in this document and catalogue are as IO1IOWS;
1.“The Company”,“The Auctioneer”refer to the Xiling Yinshe Auction Co, Ltd.
2."Different kinds of expenses”refers to expenses collected by the Auctioneer for insurance, catalogue and so on.
3.“Imitation”refers to an auction article different from the caption described in catalogue,including its author,origin,date,period and background.
4."Auctionarticle”referstoanarticle or property rights consigned by the Seller to the Auctioneer for sale in the auction.
5.“Base price”refers to the lowest hammer price that should be reached in the auction.
6.“Estimatedprice”refers to the estimated priceof each article shown in the Auctioneer'scatalogue. The price issubject to alteration.
7.“Hammer price”refers tothe price of a certain auction article upon which theAuctioneer’shammer falls.
8.“Purchase price”refers to the total amount of hammer price and commission that should be paid by the Buyer.
9.“Commission”refers to the expenses collected on a certain percentage by the Auctioneer from both the Buyer and the Seller.
10."Auction proceeds”refers to the amount paid by the Auctioneer to the Seller after deducting commission calculated by certain rate, other expenses and the amount that the Seller should pay to the Auctioneer on the basis of the hammer price.
11.“Sale/Auction date”means the date on which the Auctioneer confirms the sale of any article in the auction by striking his hammer or in any other public manner.
12.“Notice”refers toa notice in written form.The Auctioneer sends out noticeand letters to the addressprovided by the Consigner,Bidder and Buyer. Once the notice/letter is sent out, it is deemed as delivered to whom is concerned.
13.“Seal” refers_to a seal in an auction article..The seal's caption in the Auctioneer'sCatalogue is for the Buyer’s reference only
14.“Color”in the catalogue means an auction article (a piece of Chinese calligraphy or painting) iscolored.
15."Defect”refersto authenticity and some tiny flaws in the artwork.The Auctioneer believes all works of art are subject todefectsorflawscausedbynature,artistsofimproper preservation.Sothe Auctioneer shall ask.the Bidder to examine theauctionarticleifhecan find anyobviousorhiddendefects. There isa traditional Chinese saying:“The defects cannot obscure the virtues".Inaword,theBiddershalldetermine before biddingwhetheracertaindefect countsor not.
16.The place where obligationsof a contract are fulfilled refers to theplacewheretheAuctioneerislocated at.
17.The jurisdiction shall be for the court whose jurisdiction area includes the domicile of the Auctioneer. The court shall exercise jurisdiction over disputes in the performance of Consignment Agreement and the contract between the Auctioneer, the Bidder, the Seller and other interested parties.
18.The contact or identification information registered by the Seller, Bidder or Buyerat the Auctioneeris deemed as the information based on which the Auctioneer makes contact with.Notice or other legal documents sent by the Auctioneer or agent and,judicial authorityusing such information to the Seller,Bidder and Buyer is deemed to have been served.For any change in such information,a written notice to the Auctioneer is necessary, otherwise the change is invalid.
\*If there are any differences in the comprehension of the English version of the document, the Chinese version shall prevail. \*The right to interpret the Conditions of Business is reserved by the Auctioneer.
NOTICETOTHEBIDDER
1. The place where obligations of a contract are fulfilled should be the place where the Auctioneer is located at. 2.The Conditions of Business,which is published on the catalogues,should be read carefully by the Bidder and complied with strictly. 3.The Bidder shall present his own valid Identification Card, passport or otherrelevant documents to undergo registration procedure. Fora paddle registration,the Bidder shall pay a deposit of RMB 2Oo,Ooo.To bid in sales of Radiance of Sovereign Bronze:Western Zhou Taishi Cuo Gui, and Eighty YearsHonoring the Sublime Omens:Imperial Seals of the Qianlong Emperor the Bidder shall pay a deposit of RMB 2,000,000. To bid in sales of Chinese paintings& calligraphy (including Important Manuscripts and Photographs and Letters from Zeng Guofan to Li Hongzhang and Li Hanzhang,and Manuscripts of Statesmen of the Tongzhi Restoration),Unrivalled Era Master: The Art of Ding Yanyong, and Oil Paintings Modern and Contemporary Art, the Bidder shall pay a deposit of RMB 50o,0oo.The Bidder who bids ata total purchase
price of RMB 10,ooo,ooo (commission included) or more shall pay an additional deposit of RMB 500,000.
4. The Bidder can authorize his agent to bid if the Bidder is unable to be present at the auction hall and place a bidding. Before the auction date, the trustee shall present an authorization letter which is recognized by the Auctioneer to prove him as the agent of the Bidder, otherwise each Bidder shall be deemed as the Bidder himself.
5.Besides cash and cheque,payments can be remitted directly to the banks where the Auctioneer has accounts.

(七)西泠印社拍賣有限公司就《拍賣規則》中免除或減輕其責任等與委託人有重大利害關係的條款,在委託人委託前已經向本人進行了提示或說明,委託人已仔細閱讀並同意在委託過程中按西泠印社拍賣有限公司的《拍賣規則》規定的各項條款執行。對委託競買的一切後果承擔責任。
